Terms of Service

These terms explain your rights and responsibilities when you use Geopax.

1. Your agreement with Geopax

These Terms of Service govern your access to Geopax’s website at geopax.app, application at app.geopax.app, and related services (the Service). Pontis Inc., doing business as Geopax, operates the Service. In these terms, ‘Geopax’, ‘we’, and ‘us’ mean Pontis Inc. ‘You’ means the person using the Service or the organization that person is authorized to represent.

By accepting these terms or using the Service, you agree to them. If you use the Service for an organization, you confirm that you can bind that organization. You must be at least 18 and legally able to enter into this agreement. If you do not agree, do not use the Service.

A separate agreement signed by you and Geopax controls where it conflicts with these terms. An applicable data processing agreement controls the processing of customer personal information. Our Privacy Policy explains how we handle personal information; it does not replace any consent that the law requires.

2. What Geopax provides

Geopax provides software for supply-chain research and analysis, including tools to organize business records, examine suppliers and products, assess trade-policy changes, and estimate tariffs. Features may use public sources, information you provide, connected systems, and artificial intelligence.

Your access depends on the features and limits we make available or agree with you. We may update the Service as it develops. Any commitments about support, availability, or specific features must appear in your separate agreement with us.

3. Accounts and workspace access

Keep your account information accurate, protect your sign-in credentials, and tell us promptly if you suspect unauthorized access. You are responsible for your use of the Service and for access you authorize, including invitations, connected systems, and actions taken by your users.

Workspace administrators manage membership and permissions. Records and conversations within an organization may be available to others according to workspace permissions. Your organization may remove your access. Do not use a work account to store information you need to keep separate from that organization.

4. Your content and connected systems

You retain your rights in the records, files, prompts, and other information you submit or connect to the Service (Customer Content). You grant Geopax permission to host, copy, process, transmit, and display that content as needed to provide, secure, support, and maintain the Service for you, subject to our Privacy Policy and any separate agreement.

You must have the rights and permissions needed to provide Customer Content, connect third-party systems, and instruct us to process information about other people. Only provide information relevant to your business use. Do not include passwords, payment card details, or sensitive personal information in chats or uploaded business files.

When you enable a connection, you authorize us to access and process the information within its permissions. The connected provider’s terms also apply. Revoking a connection stops future access through that connection but does not itself delete records already imported into Geopax. Contact us about removal of retained information.

You are responsible for reviewing proposed changes and authorizing actions within your workspace. Keep copies of records you must preserve under your own business or legal obligations.

5. AI outputs and trade decisions

AI-generated answers, classifications, calculations, summaries, and recommendations can be incomplete, outdated, or wrong. Source citations do not guarantee that an interpretation or result is correct. Outputs may not be unique, and other users may receive similar results.

Geopax provides information and decision support, not legal, tax, customs-brokerage, or other professional advice. A tariff estimate or classification is not a binding customs ruling. Actual duties and obligations depend on the goods, origin, value, entry date, applicable measures, and other facts that may be missing from the Service.

Before acting, verify material results against current official sources and your shipment or business facts. Obtain qualified advice when needed. You remain responsible for customs filings, purchases, supplier choices, compliance decisions, and other actions you take based on the Service.

You may use outputs for your business purposes, subject to these terms and any rights in underlying third-party material. We do not claim ownership of your Customer Content through an output.

6. Acceptable use

Use the Service lawfully and within your authorized access. Do not infringe others’ rights, upload malicious code, impersonate others, send unlawful messages, or use the Service for fraud or other unlawful activity.

Do not bypass access controls or usage limits, access another customer’s information without permission, disrupt the Service, or probe its security without authorization. Do not reverse engineer the Service except where applicable law permits it despite this restriction. Automated access must follow the interfaces, permissions, and limits we provide.

7. Fees and subscriptions

Fees, payment dates, taxes, usage limits, subscription periods, renewal terms, cancellation rights, and any trial conditions are those stated in the order or plan you accept. These terms alone do not enroll you in a paid subscription or authorize a charge.

Unless your order states otherwise or the law requires it, fees already paid are not refundable. Any fee changes apply prospectively after notice and in accordance with your order. Contact us if you have questions about your plan or want to end it.

8. Geopax’s rights and feedback

Geopax and its licensors retain their rights in the Service, software, design, and branding. We give you a limited right to use the Service during your authorized access, subject to these terms. No other rights transfer to you.

If you choose to send feedback, you allow us to use it without payment or a duty to implement it. This permission does not grant us ownership of your Customer Content or allow us to disclose your confidential business information.

9. Third-party services and sources

The Service may link to or use third-party services and public information. Those providers control their own services and may change, restrict, or stop them. We do not endorse every linked source or guarantee its accuracy. Your use of a third-party service may be subject to its own terms and privacy policy.

10. Suspension and termination

We may restrict or suspend access if you materially breach these terms, fail to pay an amount due, create a security risk, or use the Service unlawfully, or if the law requires us to do so. Where practical and lawful, we will give you notice and an opportunity to address the issue. We may act immediately when needed to protect the Service or others.

You may stop using the Service at any time. Ending a paid subscription remains subject to the cancellation terms you accepted. Contact us to request account closure or discuss export and deletion of your information. Deletion remains subject to our Privacy Policy and any separate agreement.

When access ends, your right to use the Service ends. Terms concerning unpaid fees, ownership, limits of liability, and other matters that must continue to have effect will survive termination.

11. Disclaimers

Except for commitments in a separate signed agreement and rights that the law does not allow us to exclude, we provide the Service ‘as is’ and ‘as available’. To the extent the law permits, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted or error-free access, complete coverage of trade rules or business risks, or that an output will meet your needs. Nothing in these terms excludes a warranty or right that applicable law protects.

12. Limits of liability

To the extent permitted by law, Geopax will not be liable for indirect, incidental, special, or consequential loss, or lost profits, revenue, business opportunities, or goodwill arising from the Service or these terms.

To the extent permitted by law, Geopax’s total liability for claims arising from the Service or these terms will not exceed the fees you paid Geopax for the Service in the 12 months before the event giving rise to the claim. A different limit in a separate signed agreement controls.

These limits do not apply to fraud, willful misconduct, or liability that applicable law does not allow us to limit or exclude. They do not restrict your non-waivable statutory rights.

13. Changes and general terms

We may revise these terms and will update the date on this page. For material changes, we will provide notice through the Service or an appropriate contact channel before the changes take effect, except where a legal or urgent security need requires otherwise. Where the law requires renewed agreement, we will seek it.

If you do not accept revised terms, stop using the Service and contact us about ending your account. Changes do not replace terms in a separate signed agreement unless that agreement allows it.

If a provision is unenforceable, the rest of these terms remain in effect. A delay in enforcing a right does not waive it. These terms and any applicable order or signed agreement form the agreement concerning your use of the Service. Contact legal@geopax.app about these terms or a dispute.
